Try 1 stick of RAM at a time, sounds like a bad stick.

I consulted the manual and it looks like a memory conflict; try what Scott suggested and try one stick install at one time in each memory.

Thanks for the input guys
I removed all the sticks and it booted with only one. i tried putting in the rest one by one but kept giving me error 1d. So i booted with 1 went into the bios and disabled SLI ready memory.. Then it would boot with all 4gb. But now that i am trying to install vista i get BSOD saying IRQ not less or Equal.. or something like that. i know this generally means bad ram. but i have ran memtest for some time and it hasnt given me a error. Any ideas?

Go into the BIOS and up the memory voltage to 2.1Volts. By default it sits around 1.8Volts and the RAM does not have enough Voltage to run stable.

I have 4 1GB stick of the Corsair 6400 in mine running at 2.1Volts just fine.
