Ok guys, I figure by the response and research Ive done I have the following (n-egg only prices right now):
1. 2x2gb 4-4-4-12/15 ddr2 pc6400 memory for $100 (or slightly less - right now either Geil or OCZ looks like a bargain after mail in rebate)
2. XFX 8800gts for $279 after mail in rebate
Next up is the best but cheapest DDR2 mobo for around $100 - needs to be highly overclockable! Any suggestions - plan to upgrade and will eventually show results of a really cheap upgrade in early March!

I like gigabyte boards, i got myself 965p-ds3 a year ago and i recommended to 3 of my friends, that recently upgraded, to go with a p35-ds3. It's a good board and quite overclockable, i'm not sure about the features, maybe it's missing something you would want. All in all my friends are satisfied with their purchase.
Maybe there is a better cheap board out there but i don't have any recent experience outside of gigabyte ds3 series.

The Gigabyte boards have made a name for themselves as being one of the most overclockable motherboards around (or so I've read) and I can easily overclock my board to 400FSB without touching any of the voltages, and if I wasn't so lazy I could probably hit 500FSB by tweaking the voltage a tiny bit.
I haven't had any issues with my Gigabyte board since I got it a year ago so I would recommend it (it's also a bit cheaper than Asus and the likes)

As mentioned before me, the Gigabyte P35 is probably the best bet at a price of $90.
If I didnt just buy this sli motherboard I am using, I would get the P35, but I am waiting for the next gen boards to come out.

If you decide to go for SLI, I'm selling an almost brand new 680i for $100

The problem with the $95 ds3 is that it doesnt have raid. It looks like Im going to have to go one step up to the next model at $125. I see that gigabyte has some new 2.1 revisions of their ds3 mobo called the GA-EP35-DS3R for $125. Looks to be brand new...

I have a rev 2.1 GA-P35-DS3R... I don't know if that is the same as the GA-EP35-DS3R, but so far it's been stable, I put a E8400 in there, updated the bios, no problems at all.
Just remember that if your computer goes into a weird reboot cycle at power up and gives no POST beeps the problem is probably your RAM and not the mobo. sigh.
It can accomodate the Scythe NInja B and corsair Dominator RAM at the same time so it does everything I want from a no-real-fancy-extras board. :)
