XFX Geforce 8200 mobo POST d5

I just got all the stuff to build a new system, put it all together well... the cpu & fan, mobo, psu, and 1 of the 2 2gb 1066mhz ram chips and tried to do a boot just to make sure it would work.... however... unfortunately it isnt, i received POST error d5 and after fiddling with the ram chip changing ram chip, checking connections... i still cant figure out this problem

Any ideas?
